DEFINITION OF TERMS

​

Pace Delivery Services Limited, hereinafter referred to as “PDS” or “the Company”, is the logistics and carriage company providing transportation and delivery services.

All clients shall be referred to as either the “Sender/Consignor” or “Receiver/Consignee”.

When engaging PDS services, the Sender/Consignor acknowledges that they act as an authorized agent for the Receiver/Consignee or any other party with an interest in the shipment, and agrees, on their own behalf and on behalf of said parties, to be bound by the terms herein.

“Shipment” or “Consignment” refers to all documents, parcels, or cargo tendered under a waybill, parcel receipt, or consignment note, to be transported by PDS via road, air, or any other method at the Company’s discretion.

A “Parcel Receipt” includes any shipping identifier or document (including waybill, barcode, label, or electronic version) generated by PDS’s systems.

“Owner’s Risk” implies that PDS is not liable for any loss or damage, howsoever caused, including negligence. The customer assumes all risks and indemnifies PDS against claims arising from storage, handling, or transportation of such goods.

 

SCOPE OF CONTRACT

By utilizing PDS’s services, the Sender/Consignor confirms full understanding and acceptance of these terms and those published on our website: www.pacedeliveryservices.com. These terms apply regardless of whether a physical or electronic parcel receipt has been signed.

PDS retains sole discretion in route selection and method of carriage. PDS is not a common carrier and may reject any shipment without obligation to provide reasons.

 

DOCUMENTATION OF CONSIGNMENT

The Sender must accurately declare the content of each shipment. PDS reserves the right to inspect shipments for security, regulatory compliance, or safety, without prior notice.

It is the Sender’s duty to provide accurate names, addresses, and phone numbers of all parties. PDS will not be liable for delay or loss caused by incomplete or incorrect information.

Senders are also responsible for declaring the true value of shipments. If not declared, PDS bears no liability for resulting loss or damage.

 

ACCEPTABLE SHIPMENTS

PDS does not carry prohibited or restricted items under Nigerian law or international standards, including but not limited to:

  • Currency, precious metals/stones

  • Firearms and ammunition

  • Animals, human remains, narcotics

  • Pornography or hazardous materials

Shipments of perishable goods or temperature-sensitive items (e.g., fruits, vegetables) are accepted strictly at Owner’s Risk. The Sender indemnifies PDS against any regulatory penalties due to inadequate documentation or illegal contents.

 

DELIVERIES AND UNDER-DELIVERABLES

Deliveries are made to the Receiver’s provided address (not P.O. Boxes). If unavailable, packages may be delivered to an authorized third party with prior written consent.

Receivers may receive delivery notifications and may select alternate delivery methods, such as station pickup or date rescheduling.

If delivery is unsuccessful or refused, PDS will attempt to return the shipment to the Sender at their cost. Otherwise, unclaimed items may be disposed of or auctioned without liability to PDS.

Additional delivery charges apply for repeat attempts. Packages in cans, plastic, or glass will be transported at the Sender’s risk without special handling.

 

PACKAGING OF CONSIGNMENTS

The Sender is solely responsible for secure packaging. Fragile items must be packed in protective materials (e.g., crates, foam) and labeled clearly. PDS is not liable for damage caused by inadequate packaging.

SHIPMENT CHARGES, FEES & REFUND

  1. Charges are based on actual or volumetric weight and distance. PDS reserves the right to reweigh or remeasure.

  2. The Sender, Receiver, or party involved must reimburse PDS for any associated costs, including customs duties or demurrage.

  3. Official receipts will be issued for all payments.

  4. Shipments not collected within 3 days of arrival may attract ₦1000/day (small parcels) or ₦2000/day (bulk) demurrage.

  5. Shipments not paid for within 7 days (for e-commerce accounts) may be auctioned after 3 months.

  6. Refunds on canceled shipments will attract a 20% administrative fee (if the shipment hasn’t left our facility). If dispatched, return costs are the Sender’s responsibility.

  7. Abandoned shipments exceeding 1 year may be disposed of at PDS’s discretion.

 

LIABILITY & INSURANCE

Insurance is optional and must be requested in writing. Insurance covers up to 80% of declared value, subject to additional fees.

PDS’s liability is limited strictly to direct loss or damage. We are not responsible for indirect or consequential losses (e.g., business interruption, lost profits).

Delivery timelines are estimates only; PDS is not liable for delays.

 

EXCLUSIONS OF LIABILITY

PDS is not liable for losses caused by:

  • Acts of God (e.g., storms, floods, disease outbreaks)

  • Force majeure (e.g., war, riots, strikes)

  • Transportation network disruptions or mechanical failures

  • Latent defects in shipment content

  • Theft or criminal acts by third parties

  • Governmental acts or customs delays

  • Sender’s or third-party’s breach of these terms

  • Shipments containing prohibited items (even if accepted in error)

 

CLAIMS

To file a claim:

  • It must be submitted in writing.

  • It must be received at the point of collection or delivery.

 

VARIATION OF TERMS

PDS reserves the right to update these terms at any time. Clients are responsible for reviewing terms regularly at www.pacedeliveryservices.com.

 

GOVERNING LAW & DISPUTE RESOLUTION

  1. This Agreement is governed by the laws of the Federal Republic of Nigeria.

  2. In the event of a dispute, parties shall seek resolution in good faith within 3 days.

  3. If unresolved, disputes will be referred to binding arbitration in Lagos, conducted in English under the Arbitration and Conciliation Act Cap A18 LFN 2004.

  4. Arbitral proceedings shall be documentary in nature, waiving the right to full trial.

 

DURATION

This Agreement is binding on all parties, including successors, heirs, and assigns.
